1. What the Platform Does

ViralVid.io ("the Platform") operates ClipDesk, a business-to-business performance clipping service. The Platform connects businesses ("Clients") with content clippers ("Clippers") who create short-form video content to promote Client products. Each clip is scored against a proprietary viral threshold based on the Golden Ratio (φ = 1.618033988875). Only clips meeting or exceeding this threshold qualify for commission payouts.

2. Commission Structure

All qualified conversions are split as follows:

Clipper	20% of sale amount
ViralVid (Platform)	10% of sale amount
Client	70% of sale amount

These percentages are binding. The total always equals 100% of the recorded sale amount. By registering on the Platform, all parties agree to this commission structure.

3. Phi Gate Quality Filter

The Platform reserves the unconditional right to reject any clip submission scoring below the phi threshold of 1.618033988875. The viral score is calculated using a weighted formula incorporating Engagement Velocity, View-to-Like Ratio, Retention Rate, Hashtag Relevance, and Sound/Filter Impact. The specific weights and calculation method are proprietary and patent-pending. No commission is earned or owed on clips that do not meet the phi threshold.

4. Payment Terms

Commissions accrue on each qualified conversion (clip score ≥ phi threshold).
Commissions are held in the Clipper's account balance until the minimum payout threshold of R50 ZAR is reached.
Once the threshold is met, commissions become eligible for release.
ViralVid processes payouts monthly for balances exceeding the threshold.
All amounts are denominated in South African Rand (ZAR) unless otherwise stated in a specific campaign.

5. Authentication and Account Security

The Platform uses OTP-to-email (One-Time Password) authentication. No passwords are stored. Users receive a 6-digit OTP via email to authenticate. By using the Platform, the user accepts sole responsibility for:

Maintaining secure access to their registered email address.
Not sharing OTP codes with any third party.
Notifying ViralVid immediately if they suspect unauthorized access to their account.

ViralVid is not liable for unauthorized access resulting from compromised email accounts.

6. Intellectual Property

The ViralVid.io viral scoring algorithm, including but not limited to the phi threshold methodology, weighted scoring formula, World Model intelligence system, and ClipDesk platform architecture, is the intellectual property of Floris P Olivier. This IP is US Patent Pending.

Users may NOT:

Reverse-engineer, decompile, or attempt to derive the scoring algorithm.
Reproduce, distribute, or create derivative works based on the Platform's proprietary technology.
Use the Platform's methodology to build competing products or services.

Violation of this clause constitutes grounds for immediate account termination and legal action.

7. Termination

ViralVid reserves the right to suspend or terminate a Clipper account if:

The Clipper repeatedly submits clips scoring below the phi threshold.
The Clipper engages in fraudulent activity, including artificial inflation of engagement metrics.
The Clipper violates these Terms of Service.

Clients may terminate their campaigns at any time. Outstanding qualified commissions remain payable to Clippers.

8. Limitation of Liability

ViralVid provides the Platform "as is" without warranties of any kind. ViralVid is not liable for:

Loss of revenue due to clips not meeting the phi threshold.
Third-party platform changes (e.g., TikTok algorithm updates) affecting engagement metrics.
Delays in commission processing beyond ViralVid's reasonable control.

9. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

Good-faith negotiation between the parties.
If unresolved within 30 days, mediation under the rules of the Arbitration Foundation of Southern Africa (AFSA).
If mediation fails, the dispute shall be submitted to the jurisdiction of the South African courts.

10. Amendments

ViralVid may amend these Terms at any time by publishing updated terms on the Platform. Continued use of the Platform after amendment constitutes acceptance of the updated Terms.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Republic of South Africa.
